Co-operators reserves the right, in its sole discretion, to modify these terms and conditions at any time without notice to you, and your continuing use of this website following such modifications shall indicate your acceptance of such modifications. You should periodically revisit this page in order to review the latest version of these terms and conditions.

The laws of the Province of Ontario and the laws of Canada applicable therein (without regard to conflict of law provisions) shall govern your use of this website, the materials and information provided on this website and these terms and conditions. Any legal action or proceeding relating to this website shall be governed exclusively by the courts of the Province of Ontario and all courts of appeal therefrom. If you access this website from a location outside of Canada, you do so on your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

These terms and conditions are of general application to this website, and are supplementary to any disclaimer, term or condition of specific application on a particular webpage provided on this website. In case of conflict, the specific disclaimers, terms and conditions shall govern over these terms and conditions.

Products and services of Co-operators are only offered in jurisdictions where they may be lawfully offered for sale. Not all products and services are available in your province or territory of residence. Discounts, coverage and eligibility vary by province and territory. All products and services are subject to the terms of the applicable agreements and laws that apply thereto. In case of any discrepancy between any such agreement and this website, the agreement will govern. ADDITIONAL TERMS AND CONDITIONS – MOBILE APPLICATIONS

The terms and conditions set forth above along with the additional terms and conditions set out below (collectively, the "Terms") apply to your use of the following mobile applications, which are each referred to in these additional terms and conditions as an "Application", and which are collectively referred to in these additional terms and conditions as the "Applications":

• Co-operators Mobile Application; and
• Benefits Now® Mobile Application.

When applying the terms and conditions set forth above, the term "this website" shall be read as "the Applications". In the event of a conflict between the terms and conditions set forth above and the additional terms and conditions set out below, the terms and conditions set forth above shall govern.

The Applications are available for download from third party mobile application stores and may be used on smart phones and tablets (collectively, "Mobile Devices" and each a "Mobile Device"). The Applications are owned and operated by Co-operators. Co-operators may suspend, cancel or block your access to or use of an Application at any time and for any reason, without notice or liability to you. Co-operators may, although shall not be required to, update an Application from time to time, and you acknowledge that your continued use of an Application may require you to promptly install and use the updated version of such Application.

By using an Application, you agree to be bound by the Terms, and agree that the Terms constitute a binding contract between you and Co-operators. Co-operators reserves the right, at its discretion, to change, modify, add or remove portions of the Terms at any time. Please check these Terms periodically for changes. Your continued use of an Application following the posting of changes to the Terms will constitute your acceptance of those changes.

The contents of the Applications and the information and data provided by the Applications are intended for private, non-commercial use by individuals only, and are provided for personal use only.

The Applications

The Applications, including but not limited to all text, graphics, logos, icons, images, data, graphs, audio, videos, computer programs and other material and information contained on, or utilized in the provision of, the Applications are the property of Co-operators or its suppliers and are protected by copyrights, trademarks, trade secrets, patents or other proprietary rights.

Co-operators hereby grants you a limited, nonexclusive, non-transferable, revocable, personal license to use the Applications on your Mobile Devices for personal use only. Any commercial use of the Applications in whole or in part, directly or indirectly, is specifically forbidden except with the prior written consent of Co-operators. Co-operators retains all right, title and interest in and to the Applications. You are prohibited from renting, leasing, lending, selling, redistributing or sublicensing the Applications, and from decompiling, reverse engineering, disassembling, or attempting to derive the source code of, the Applications. You shall not use the Applications for any illegal or fraudulent purpose or in a manner that infringes on another person’s rights.

Except as expressly authorized by Co-operators in writing, you may not use, copy, distribute, modify or create derivative works from, disclose, display, transmit, or post any portion of the Applications for any purpose or 'frame' or 'mirror' the Applications on any other server or wireless or internet-based device. Notwithstanding the foregoing, you may print or otherwise save individual pages produced by, or displayed on the Applications for private use, however the contents of the Applications may not be modified or altered in any respect, merged with other data or published in any form, in whole or in part. Prohibited uses of the Applications include but are not limited to "screen scraping", "database scraping" and any other activity intended to collect, store, reorganize or manipulate data on the pages produced by, or displayed on the Applications. All rights not expressly granted herein are reserved to Co-operators and/or its licensors.

Termination

Co-operators may, in its sole discretion, terminate the licence granted hereunder or your use of the Applications for any reason whatsoever, including: (a) breach of these Terms; (b) your abuse of an Application's resources or attempt to gain unauthorized entry to an Application; or (c) as required by law, regulation, court or governing agency order. Co-operators' termination of the licence granted hereunder or your use of the Applications may be effected without notice and, on such termination, Co-operators may immediately bar any further access to the Applications. On termination, you will immediately cease using the Applications and permanently erase the Applications. Any provision of these Terms which by their nature extend beyond the termination of these Terms shall survive the termination of these Terms. Co-operators shall not be liable to any user or other third party for any termination of the licence granted hereunder or your use of the Applications.

Limited Warranty; Limitation of Liability

Your use of the Applications and any information provided by or through the Applications is at your sole risk. The Applications and any information provided by or through the Applications is provided on an "as is" and "as available" basis. Co-operators expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Co-operators shall not be liable for any direct, indirect, incidental, special, consequential, punitive or exemplary damages resulting from any user's use of or inability to use the Applications or any reliance by a user on any information provided by or through the Applications.

Notwithstanding the generality of the foregoing, Co-operators makes no warranty, either implied or express, that the Applications will be provided uninterrupted, error-free or virus-free, in a timely, secure, accurate or reliable manner, or of any quality, nor is it warranted either implicitly or expressly that any data contained in the Applications is safe in any manner for download. You understand and agree that Co-operators does not provide any professional advice of any kind via the Applications and that any advice or any other information obtained via the Applications may be used solely at your own risk, and that Co-operators will not be held liable in any way for such information or your use thereof.

Mobile Devices

You are solely responsible for your Mobile Devices and any data stored thereon or accessible therefrom. You agree to take all necessary precautions to protect your Mobile Devices and the data stored thereon, including, but not limited to, (a) using a strong and secure lock screen password or biometric authentication feature, (b) protecting your Mobile Devices from viruses and other malicious software, and (c) maintaining possession of your Mobile Devices at all times. Precautions should also be followed with respect to selecting and maintaining the confidentiality of lock screen and Application passwords and verification questions and answers. You are responsible for ensuring that the Applications and all related data are erased prior to selling, gifting, donating, or otherwise disposing of your Mobile Devices or any related SIM cards. You acknowledge that some of the functionality of the Applications requires internet access, and agree to pay any fees or other charges imposed by your wireless services carrier or internet service provider with respect to such internet access, and shall indemnify and hold Co-operators harmless with respect to same.

In connection with your use of an Application, your provision of a Mobile Device to any third party, including, but not limited to, governmental authorities and law enforcement officials, is entirely at your own risk, and Co-operators shall not be responsible for, and you agree to indemnify Co-operators with respect to, any loss or damage that you may incur as a result. Without limiting the generality of the foregoing, you acknowledge that there is a risk that following your provision of a Mobile Device to a third party in order to allow such third party to view information contained within an Application, such third party may access other information contained within your Mobile Device accidentally or otherwise without your consent, or such third party may damage your Mobile Device or data contained thereon, and you agree that Co-operators shall not be responsible for, and you agree to indemnify Co-operators with respect to, any loss or damage that you may incur as a result.

Electronic Proof of Insurance

The Applications may contain electronic liability slips relating to your insurance coverage. You acknowledge that such electronic liability slips are being provided for your convenience and for informational purposes only. Applicable laws may require you to carry original hard copies of such liability slips for the purposes of evidencing insurance coverage to law enforcement or governmental authorities, and appropriate warnings will be displayed in the Applications where such laws are in place. You agree that Co-operators shall not be responsible for, and you agree to indemnify Co-operators with respect to, any loss or damage that you may incur as a result of failing to carry original hard copies of such liability slips where required by law.

ADDITIONAL TERMS AND CONDITIONS – ONLINE SERVICES (INSURANCE ONLY)

For the purposes of the following additional terms and conditions, the following terms will have the following meanings:

"Credentials" means your username, password, and any other identifying factors that you will be required to create in order to access the Online Services. If you have enabled Touch ID, Face ID or other biometric recognition feature on an electronic device to sign into Online Services, your credentials include any fingerprint or other biometric marker stored on such device, and the password to such device.

"Online Services" means the online services offered by Co-operators through www.co-operators.ca or through the Co-operators Mobile Application, and any other online service offered to you by Co-operators.

Use of Online Services

You may use Online Services only in accordance with these terms and conditions. You shall not use Online Services for illegal, fraudulent or defamatory purposes, or take any steps that could undermine the security or integrity of Online Services, or cause harm to, or threaten to harm, any other user of Online Services. You authorize Co-operators to accept, and agree to be responsible for, any electronic instructions given by you through Online Services to the same extent as if you had given signed, written instructions to Co-operators. Online Services is protected by information security practices that are standard in the financial services industry, however, there is always a risk that your Online Services session may be compromised due to circumstances beyond our control. By using Online Services, you agree to accept this risk.

Change Terms

1. You may request the certain changes to your policy through Online Services (each a "Change").
2. You are solely responsible for all Changes you request through Online Services, and all consequences of such Changes.
3. You agree to pay any increased premiums and applicable taxes thereon resulting from a Change made by you through Online Services.
4. Any Change requested will be processed by Co-operators immediately.
5. The effective date of a Change requested through Online Services will be confirmed to you through Online Services and by email. The effective date of certain Changes may be future dated.

General Terms

1. The summary information presented in Online Services is a representation of your coverages and other pertinent details about your coverages. This information is not a declarations page, policy, endorsement or otherwise intended to form part of your contract of insurance. Recent changes to the policy(ies) may not be reflected. In the event of any discrepancy between the information provided in Online Services and the policy(ies), the terms of the policy(ies) shall prevail. Please refer to your insurance policies for the exact extent of your coverage, limits, deductibles, conditions, and limitations that apply to you. If you have any questions or require further information, please contact your Financial Advisor or Co-operators.
2. You shall advise us promptly of any changes to the email address you provided when you registered for Online Services.
3. The most recent version of your insurance documents will be available online through Online Services. We recommend that you save copies of your documents to keep a history of your transactions, and so that you can refer to them later on if needed.

Credentials

DO NOT SHARE YOUR CREDENTIALS WITH ANYONE. You must keep your Credentials confidential at all times, and take all reasonable precautions to prevent your Credentials from being discovered by, disclosed to, or used by, a third party. Wherever possible, you should avoid accessing Online Services through a public computer, or over a public or unsecured network. If you suspect that your Credentials have been discovered by, disclosed to, or used by a third party, you should contact your Financial Advisor or Co-operators immediately.

If you have enabled Touch ID, Face ID or any other biometric recognition feature on an electronic device to sign into Online Services, you must ensure that only your fingerprints or other biometric markers are stored on such device, and understand that a fingerprint or other biometric marker of another person that is stored on such device can be used to sign into Online Services. Accordingly, to prevent any other person from registering their fingerprint or other biometric marker on your electronic device, you must ensure that your electronic device is kept physically secure and protected by a strong passcode and other security features at all times. You understand that any Touch ID, Face ID or other biometric marker authentication is performed by Co-operators by interfacing with the relevant feature of your electronic device, and you agree to that process. You acknowledge that the Touch ID, Face ID or other biometric recognition feature of your electronic device is not provided by Co-operators, and that Co-operators makes no representation or warranty regarding the functionality or security of such feature.

Limitation of Liability — Not applicable in Quebec with respect to Online Insurance Quote and Buy Web Pages

Co-operators shall not be responsible or liable to you or to others for any direct, indirect, consequential or special damages, including without limitation all losses, costs, or expenses, arising from your use of, or inability to access, Online Services.

Cancellation of Online Services

You may cancel your Online Services account at any time through Online Services or by calling us. (Not Applicable in Quebec with respect to Online Insurance Quote and Buy Web Pages) We may suspend or refuse to provide Online Services to you at any time without notice.
